1. Overview — Marketplace Facilitator Model

Huiliu Global (operated by huiliu-global.com) is an online marketplace platform that facilitates transactions between individual sellers ("Consignors") and buyers ("Buyers") of secondhand luxury assets, including jadeite, diamonds, colored gemstones, and luxury watches.

Huiliu Global acts solely as a marketplace facilitator and technology platform. We are not the seller, owner, or custodian of any items listed on our platform. We do not purchase inventory, hold physical stock, or take title to any goods at any point in the transaction process.

This structure is similar to other online marketplace platforms (such as eBay). The contract of sale is formed directly between the Consignor and the Buyer. Huiliu Global earns a commission and logistics coordination fee per completed transaction.

2. Platform Services

Huiliu Global provides the following services as a marketplace facilitator:

• Authentication Services: Physical inspection and 4K digital cataloging of consigned items to verify authenticity prior to listing
• Marketplace Listing: Exposure of authenticated items to our global network of verified buyers
• Competitive Bidding Platform: A secure online auction environment connecting sellers and buyers
• Third-Party Secure Settlement: Holding of buyer funds in a third-party secure settlement account until both parties confirm transaction completion
• Insured Logistics Coordination: Arrangement of fully insured shipping between authentication facility and buyer
• Seller Payout: Release of funds to Consignors within 48 hours of confirmed auction close

3. Consignor Responsibilities

By submitting an item for consignment, you confirm that:

• You are the legal owner of the item or have full authority to sell it
• The item is free of any liens, encumbrances, or legal disputes
• All information provided about the item is accurate and complete
• You understand that Huiliu Global acts as a facilitator and not as a buyer or guarantor of sale price

4. No Inventory Ownership

Huiliu Global does not at any time take ownership, title, or possession of consigned items for the purpose of resale. Items shipped to our authentication facility are received solely for the purpose of inspection, cataloging, and logistics coordination on behalf of the Consignor.

5. Fees and Commission

Huiliu Global charges a commission on each successfully completed transaction, plus applicable logistics and insurance fees. Full fee schedules are provided to Consignors prior to listing. No fees are charged for items that do not sell.

6. Third-Party Secure Settlement and Payment

All buyer payments are held in a third-party secure settlement account by Huiliu Global until the transaction is confirmed by both parties. Funds are released to the Consignor within 48 hours of confirmed auction close. Huiliu Global is not a bank or financial institution and does not provide financial services beyond payment facilitation for marketplace transactions.

7. Limitation of Liability

As a marketplace facilitator, Huiliu Global's liability is limited to the services we directly provide. We are not liable for disputes between Consignors and Buyers regarding item condition beyond our authentication assessment, or for any consequential, indirect, or punitive damages.

8. Governing Law

These Terms of Service are governed by the laws of the State of California, United States. Any disputes shall be resolved through binding arbitration in San Mateo County, California.
